End-User License Agreement

1. Agreement

This End-User License Agreement (“Agreement”) is a binding agreement between you and the business on whose behalf you act (“you”) and Forge ERP (“Forge ERP,” “we,” “us”), operator of the Gantry platform (the “Service”). By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.

2. License

Subject to this Agreement and any applicable subscription, Forge ERP grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations. We reserve all rights not expressly granted.

3. Accounts and responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You must provide accurate information and keep it current.
  • You are responsible for the data you enter into the Service and for having the rights to use it.
  • You must promptly notify us of any unauthorized use of your account.

4. Acceptable use

You agree not to:

  • use the Service in violation of any applicable law or regulation;
  • attempt to gain unauthorized access to the Service, other accounts, or connected systems;
  • interfere with or disrupt the integrity or performance of the Service;
  • reverse engineer, resell, or sublicense the Service except as permitted by law.

5. Third-party services and QuickBooks Online

The Service can connect to third-party services, including QuickBooks Online provided by Intuit Inc. Your use of QuickBooks Online is governed by Intuit’s own terms and privacy policy, and you are responsible for complying with them. When you connect an account, you authorize the Service to access and exchange the data needed to provide the connected features. We are not responsible for third-party services, and their availability or terms may change.

6. Intellectual property

The Service, including its software, design, and content, is owned by Forge ERP and its licensors and is protected by intellectual-property laws. Your business data remains yours; you grant us the limited rights needed to operate and provide the Service to you.

7. Disclaimer of warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements. The Service is not a substitute for professional accounting, tax, legal, or payroll advice.

8. Limitation of liability

To the maximum extent permitted by law, Forge ERP will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or related to your use of the Service. Our total liability for any claim arising out of or related to the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the claim.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach this Agreement or to protect the Service. Upon termination, the license granted here ends; provisions that by their nature should survive (including sections 6 through 8 and 10) will survive.

10. Governing law

This Agreement is governed by the laws of the State of Texas, United States, without regard to its conflict-of-law rules. Any dispute arising under it will be subject to the exclusive jurisdiction of the courts located there, to the extent permitted by law.

11. Changes

We may update this Agreement from time to time. When we do, we will revise the effective date above. Continued use of the Service after an update constitutes acceptance of the revised Agreement.
